Announcement Regarding our Subsidiary’s Participation in Karel Elektronik’s Capital Increase

The Board of Directors of our Company’s direct subsidiary Öncü Girişim Sermayesi Yatırım Ortaklığı A.Ş. (Öncü VCIT) has resolved the following:
- As per the Board of Directors resolution of Karel Elektronik Sanayi ve Ticaret A.Ş. (Karel Elektronik), which is a subsidiary of Öncü VCIT, on September 23, 2022, to fully exercise pre-emptive rights in the capital increase that will raise the capital to TRY 402,942,765.175 in cash without restricting rights to buy new shares,
- To provide commitment to Karel Elektronik that unsold shares in the public offering after the exercise of pre-emptive rights by the existing shareholders shall be purchased by our Company in accordance with the related regulation,
- To utilize the TRY 140,000,000 capital advance, of which TRY 81,177,106.07 is in the name of Öncü VCIT, a total of TRY 58,822,893.93 is in the names of Şakir Yaman TUNAOĞLU, Serdar Nuri TUNAOĞLU and Ali Sinan TUNAOĞLU, and which had been proceeded to Karel Elektronik accounts to be used in Karel Elektronik operations, without any maturity and to be netted off with the liability arising from the mentioned capital increase.
