Announcement Regarding the Merger with Adilbey Holding

Our Company's Board of Directors has resolved that our Company's consolidated financial tables and notes for the interim fiscal period of 01.01.2022-30.09.2022 shall be the basis for the merger transaction which was stated in the Article 3 of its decision on December 22, 2022 no. 2022/38 and which was announced on the Public Disclosure Platform on December 23, 2023 (https://www.kap.org.tr/en/Bildirim/1089344).
Our Company's Board of Directors has further resolved at its meeting on April 06, 2023 (today) that our Company's consolidated financial tables and notes for the fiscal period of 01.01.2022-30.09.2022 shall now be the basis for the abovementioned transaction, which is the process of merging all assets and liabilities of Adilbey Holding A.Ş under our Company through ‘acquisition', calculations to be made in relation to the merger and reports including "Expert Institution Report", "Merger Agreement", "Announcement Statement" that will be prepared in accordance with the "Communiqué on Mergers and Demergers" numbered II-23.2 of the Capital Markets Board.
