The application for the registration of shares representing the capital of Galata Wind Enerji A.Ş., our direct subsidiary generating electricity with solar and wind sources in the field of renewable energy, with a total installed capacity of 269 MW, and for an initial public offering has been approved by the Capital Markets Board.
The shares of Galata Wind Enerji A.Ş. ("GWIND") shall be traded at Borsa İstanbul A.Ş. "Yıldız Pazar" (Star Market).
An initial public offering shall be carried for 13,369,787,000 shares corresponding to 25% of the total 53,479,145,765 shares – with a nominal value of 1 Kurus – of Galata Wind Enerji A.Ş., our direct subsidiary, representing its fully paid total capital of 534,791,457.65 Turkish Liras. Moreover, 2,673,957,000 shares, representing 5% of the total capital of Galata Wind Enerji A.Ş. may also be publicly offered within the scope of “additional selling” rights. Therefore, 16,043,744.000 shares representing 30% of the total capital of Galata Wind Enerji A.Ş., including the exercise of the “additional selling” rights shall be within the scope of the initial public offering.
The Prospectus and the Sales Announcement for Investors, which has prepared for the initial public offering whereby the intermediary leader is Garanti BBVA Yatırım, and which has been approved by the Capital Markets Board will be posted at the Corporate Website of Garanti BBVA Yatırım at the address "https://www.garantibbvayatirim.com.tr/", at the Public Disclosure Platform ("KAP"-PDP) by Galata Wind Enerji A.Ş. as well as the Corporate Website of Galata Wind Enerji A.Ş www.galatawindenerji.com (https://www.galatawindenerji.com/content/izahname.pdf).
The dates of the initial public offering shall be included in the Sales Announcement for Investors.
Generating green electricity via entirely renewable energy sources, Galata Wind Enerji A.Ş., has three Wind Power Plants ("WPPs") and two Solar Power Plants ("SPPs") with a total installed capacity of 269 MW. Galata Wind Enerji A.Ş. is one of Doğan Holding investments reflecting the vision of harmonization with the transition to a carbon-neutral economy carried out at a global level by the United Nations. With 100% renewable resources in its portfolio with three WPPs in Bandırma/Balıkesir, Mut/Mersin, and Nilüfer/Bursa, and two SPPs in Çorum and Erzurum, Galata Wind Enerji A.Ş. generates approximately 750,000 MWh of electrical energy annually, and brings about a reduction of around 400,000 tons of carbon emissions per year. While fossil fuel energy types start having a smaller share in the energy industries across Turkey and the world, Galata Wind Enerji A.Ş., operating in the growing renewable energy sector the share of which is increasingly growing, is contributing to the reduction of Turkey's dependence on foreign energy resources. While Galata Wind Enerji A.Ş. aims at growing in the country and overseas with new projects and investments on the renewable energy resources side in 2021, it is also working towards creating new areas of business in high added value fields with distributed and alternative energy technologies.
