Purchase of Financial Fixed Asset – Doğan Internet

Our Board of Directors has resolved on the following on 10.05.2018;

As per the general terms and conditions of our Board Resolution dated 06.04.2018, no. 2018/16 in relation with the shares to be taken over by our Company within the scope of the “Share Selling Agreement” (“Agreement”) signed between our Company and Demirören Medya Yatırımları Ticaret A.Ş. on April 6, 2018:

it has been seen that the value of each share of our direct subsidiary Doğan Internet Yayıncılığı and Yatırım A.Ş. has been determined as 2.89800 USD, and that the selling price of all the Company shares has been determined as 12,751,210.73 USD,

- that the conditions for the “Call Option” to be exercised have been fulfilled with regards to the take over by our Company of the Doğan Internet Yayıncılığı ve Yatırım A.Ş. shares held by Öncü Girişim Sermayesi Yatırım Ortaklığı A.Ş., pursuant to Article 6.5 of the “Shareholders Agreement” dated 29.12.2017 signed between our Company, Öncü Girişim Sermayesi Yatırım Ortaklığı A.Ş., and Doğan İnternet Yayıncılığı ve Yatırım A.Ş.,

Our Company has reserved to exercise the “Call Option” it holds, pursuant to Article 6.5 of the “Shareholders Agreement” dated 29.12.2017 signed between our Company, Öncü Girişim Sermayesi Yatırım Ortaklığı A.Ş., and Doğan İnternet Yayıncılığı ve Yatırım A.Ş.,

To buy and take over in cash and in a single payment of a total 1,912,681.61 USD, each share determined with the Shareholders Agreement being worth 2.89800 USD, the shares representing 660,000 shares held by Öncü Girişim Sermayesi Yatırım Ortaklığı A.Ş. in the 4,400,000 shares of our direct subsidiary Doğan İnternet Yayıncılığı ve Yatırım A.Ş., representing its fully paid 4,400,000 Turkish Lira capital, each with a nominal value of 1 Turkish Lira, all registered shares with share certificates, and which represent 15% of the fully paid capital of Doğan İnternet Yayıncılığı ve Yatırım A.Ş.
